These Terms of Service (the "Terms") govern your access to and use of the website located at judge.finance (the "Website"), operated by Judge Finance Ltd., a company incorporated in the British Virgin Islands ("we," "us," or "our"). By accessing or using the Website, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use the Website.

1. Acceptance of Terms

By using the Website, you represent that you have read, understood, and agree to these Terms, as well as our Privacy Policy (available at judge.finance/privacy). We may update these Terms from time to time, and your continued use of the Website constitutes acceptance of any changes. It is your responsibility to review these Terms periodically.

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use the Website. You represent and warrant that you are not located in, or a resident or national of, any jurisdiction where access to or use of the Website or the YieldCoin protocol would be prohibited by applicable laws, including but not limited to jurisdictions subject to comprehensive sanctions by the United States, the European Union, or the United Nations. The Website is not available to users in restricted jurisdictions.

3. Description of Services

The Website provides information about Judge Finance, including the YieldCoin protocol—a Chainlink Runtime Environment (CRE)-powered, fully on-chain, Chainlink-native, cross-chain stablecoin yield operating system. YieldCoin is a permissionless, automated vault that optimizes stablecoins (e.g., USDC, USDT, GHO) across multiple chains and protocols (e.g., Aave, Compound, Fluid, Morpho, Sky, Pendle, Folks Finance, Dolomite) to deliver the safest and highest risk-adjusted real yield, net of a transparent 10% streaming performance fee.

The Website may include links to a demo application at contractlevel.com/app or other third-party sites. Use of the YieldCoin protocol involves interacting with smart contracts on blockchain networks, which are decentralized and not controlled by us after deployment. The Website is for informational purposes only and does not constitute an offer to sell securities or financial products.

4. Risks and Disclaimers

Blockchain and DeFi Risks: Interacting with the YieldCoin protocol or any blockchain-based service involves significant risks, including but not limited to:

• Volatility of digital assets and yields.

• Smart contract vulnerabilities, hacks, or exploits.

• Loss of funds due to user error, private key compromise, or network failures.

• Regulatory changes that may affect the protocol's operation.

• Liquidity risks, slippage, gas fees, and cross-chain bridging risks (mitigated by Chainlink CCIP and Concero).

• Credit risks from underlying protocols (e.g., Aave, Compound).

All displayed APYs are net of fees and estimates only; actual yields may vary. The protocol is open-source, immutable, with no admin keys that can steal funds, but includes an EMERGENCY_PAUSER for pausing deposits/withdrawals in case of issues. We do not custody your assets; you retain control via your wallet.

No Guarantees: The Website and protocol are provided "AS IS" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted access, error-free operation, or the accuracy of information.

No Financial Advice: Nothing on the Website constitutes financial, investment, legal, tax, or other advice. You are solely responsible for evaluating the risks and merits of using the protocol. Consult professionals before engaging.

5. User Responsibilities

• You must comply with all applicable laws and regulations.

• You agree not to use the Website for any unlawful purpose, including money laundering, terrorist financing, or violating sanctions.

• You are responsible for securing your wallet and private keys; we do not have access to them.

• You must not attempt to hack, interfere with, or disrupt the Website or protocol.

6. Fees

The YieldCoin protocol charges a 10% streaming performance fee on generated yield, enforced on-chain. No other fees are charged via the Website. Blockchain transactions may incur gas fees, which are your responsibility.

7. Intellectual Property

All content on the Website, including text, graphics, logos, and software, is owned by us or our licensors and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

8. Limitation of Liability

To the fullest extent permitted by law, we, our affiliates, directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Website or protocol, even if advised of the possibility of such damages. Our total liability shall not exceed $100 USD.

You acknowledge that blockchain technology is experimental and that losses may occur due to factors beyond our control.

9. Indemnification

You agree to indemnify, defend, and hold harmless us, our affiliates, and our respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Website, violation of these Terms, or infringement of third-party rights.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the British Virgin Islands, without regard to conflict of laws principles.

Any disputes arising from or relating to these Terms or the Website shall be resolved exclusively through binding arbitration in the British Virgin Islands, administered by the BVI International Arbitration Centre in accordance with its rules. You waive any right to participate in class actions or representative proceedings.

11. Termination

We may terminate or suspend your access to the Website at any time, without notice, for any reason, including violation of these Terms.

12. Miscellaneous

• Severability: If any provision of these Terms is held invalid, the remainder shall remain in effect.

• Entire Agreement: These Terms constitute the entire agreement between you and us.

• No Waiver: Our failure to enforce any right does not constitute a waiver.

• Assignment: We may assign these Terms without your consent.
